一、Operating Principles The Beidou Star Cloud Procurement Platform is dedicated to providing a service platform for procurement and supply for small and medium-sized enterprises (SMEs). Reducing procurement costs, improving procurement efficiency, expanding sales channels, and increasing product sales are the development goals of the Beidou Star Cloud Platform. The construction of the cloud platform is conducive to the exchange and sharing of information between upstream and downstream enterprises in the procurement chain, forming cooperation among procurement enterprises, improving service quality, increasing the efficiency of procurement enterprises, saving social resources, and enhancing the service level of the procurement industry. To fully utilize the role of the Beidou Star Cloud Procurement Platform (hereinafter referred to as the "Platform"), this management policy is formulated. The operation of the Beidou Star Cloud Procurement Platform is based on procurement information services and aims to provide value-added information services according to user needs. 二、General Provisions of the Cloud Platform Website Management Policy Article 1 Acceptance of Terms By accessing the Platform in any way, you agree to all the rules and regulations issued by the Platform and will be bound by the various rules and regulations of the Platform. The Platform may change the content of these rules and regulations at any time at its sole discretion. If any changes are made, the Platform will post a notice on its website. If you do not agree to the relevant changes, you must stop using the Platform. Once the rules and regulations are published on the Platform, they will immediately take effect. When service users (hereinafter referred to as "Users") log in for the first time, they should carefully read the content of the rules and regulations and have the right to choose to stop or continue using all the services within the Platform. Once you continue to use the Platform, it means that you have accepted the various rules and regulations issued by the Platform. If there is any dispute between the User and the Platform, the latest rules and regulations will prevail. Unless otherwise explicitly stated, any new content that expands the scope of the Platform's services or enhances its functions is subject to this management policy.: Article 2 Who Can Use the Platform The Platform is only for individuals or companies who can enter into legally binding contracts under relevant laws. Therefore, as an individual, you must be eighteen years old or older to use the Platform's services. If you do not meet this condition, please do not use the Platform. The Platform may refuse to provide services to anyone at its sole discretion at any time and will not provide services to users who have been temporarily or permanently suspended from the Platform. Article 3 Registration Obligations If you register on the Platform, you must fulfill the following obligations: (a) Provide true, accurate, complete, and current information about yourself or your company as required by the Platform's membership registration form. (b) Maintain and promptly update the membership information to keep it true, accurate, complete, and current. If you provide any untrue, inaccurate, incomplete, or outdated information, or if the Platform has reasonable grounds to suspect that such information is untrue, inaccurate, incomplete, or outdated, the Platform may suspend or terminate your registration and refuse you any current or future use of the service (or any part thereof). Article 4 Data Entry Rules User data includes any data, text, software, music, sound, photographs, graphics, video, words, or other materials you provide to the Platform or other users in any public information venue or through any email form during the registration or message publishing process. Users are fully responsible for the data. However, if the Platform believes that "your data" may bear any legal or moral responsibility, or may cause the Platform (in whole or in part) to lose its internet service provider or other suppliers' services, or if you do not log in or re-log in to the Platform within the specified period, the Platform may take any action it deems necessary or appropriate for "your data," including but not limited to deleting such data. (a) Do not transfer or lend your registration name and password to others. If you discover unauthorized use of your registration name and password by others, you should immediately notify the Platform. The Platform does not bear any responsibility for the illegal use of your registration name and password due to hacking or user negligence. (b) Ensure that you log out of the Platform correctly at the end of each online session. The Platform is not responsible for any loss or damage resulting from your failure to comply with this provision. Article 5 Registration Name, Password, and Confidentiality During registration, you will choose a membership registration name and password. You are solely responsible for maintaining the confidentiality of your membership registration name and password and for all activities that occur under your membership registration name and password. You must adhere to the following obligations: Article 6 Platform Service Content The specific content of the Platform's services is provided by the Platform based on actual conditions, such as information publishing and other services. Article 7 Information Publishing Constraints When publishing any information on the Platform, users must ensure that they do not publish the following information: (a) Fraudulent information or information related to selling counterfeit or stolen items. (b) Information that infringes on any third party's property rights, copyrights, patents, trademarks, trade secrets, or other intellectual property rights, or privacy rights, reputation rights. (c) Information that violates any laws, regulations, ordinances, or rules (including but not limited to laws, regulations, ordinances, or rules regulating export management, trade quotas, consumer protection, unfair competition, or false advertising). (d) Defamatory (including commercial defamation), illegal threatening, or illegal harassing content. (e) Obscene content or content containing any child pornography. (f) Any virus, disguised destruction program, computer worms, time bombs, or other computer programs intended to damage, maliciously interfere with, secretly intercept, or occupy any system, data, or personal information. Article 8 Privacy Protection (a) Protecting user privacy is a fundamental policy of the Platform. The Platform guarantees not to disclose or provide individual user registration data and non-public content stored on the Platform to any third party, except in the following circumstances: obtaining the user's explicit authorization in advance, required by relevant laws and regulations, as requested by relevant government authorities, for the public interest, or to protect the legal rights of the Platform. (b) The Platform may cooperate with third parties to provide relevant services to users. In this case, if the third party agrees to assume the same responsibility for protecting user privacy as the Platform, the Platform has the right to provide the user's registration data to the third party. (c) Without disclosing individual user privacy data, the Platform has the right to analyze the entire user database and use it for commercial purposes. Article 9 Compensation You agree to compensate the Platform and its subsidiaries, directors, employees, agents, and to protect them from any claims made by third parties (including legal fees and other professional fees) due to your violation of this management policy or other documents referenced in this policy, or your violation of the law or infringement of third-party rights. Article 10 User Compliance Rules In the process of using the Platform's services, users must comply with the following principles: (a) Comply with the relevant laws and regulations of the People's Republic of China. (b) Comply with all network protocols, regulations, and procedures related to the services. (c) Do not use the service system for any illegal purpose. (d) Do not use the Platform's services to infringe on the commercial interests of the Platform, including but not limited to publishing commercial advertisements without the Platform's permission. (e) Do not use the Platform's service system to engage in any behavior that may adversely affect the normal operation of the internet or mobile network. (f) Do not use the Platform's services to upload, display, or transmit any false, harassing, defamatory, abusive, threatening, vulgar, obscene, or other illegal information or data. (g) Do not infringe on any third party's patent rights, copyrights, trademarks, reputation rights, or other legal rights. (h) Do not use the Platform's service system to engage in any behavior detrimental to the Platform. (i) The Platform has the right to review and supervise the use of the Platform's services by users (including but not limited to auditing the content stored on the Platform by users). If users violate any of the above regulations during use, the Platform or its authorized persons have the right to require users to correct or take any necessary measures (including but not limited to changing or deleting user-posted content, suspending or terminating the user's right to use the services) to reduce the impact of the user's improper behavior. (j) Any statements, notices, or warnings made by the Platform through various means (including but not limited to web announcements, emails, SMS reminders) regarding the use of specific services shall be considered part of this agreement. If users use such Platform services, they are deemed to agree to the content of such statements, notices, or warnings. Article 11 No Agency Relationship You and the Platform are independent contracting parties. This management policy does not intend to create or establish any agency, partnership, joint venture, employment, or franchisor-franchisee relationship. Article 12 Force Majeure The Platform is not liable to you for any delay or failure to perform due to causes beyond the reasonable control of the Platform, including but not limited to natural disasters, strikes or riots, material shortages or rationing, riots, acts of war, government actions, communication or other facility failures, or severe casualties. Article 13 Assignment The Platform may assign this management policy without your consent. Article 14 Disclaimer The Platform has a duty to check the operational compliance of the website, but it does not guarantee the content related to business, transactions, or contractual relationships posted or operated by the Platform users. It does not bear the responsibility for the authenticity and other legal responsibilities of the information content posted or operated by the Platform users. Article 15 Network Security Measures Users' data exchange equipment must be operated by dedicated personnel to prevent unclean disks and files from running, thereby preventing computer viruses from invading the data exchange network. If a computer network virus is discovered, it should be promptly reported to the public security department and the Platform, and corresponding measures should be taken. The person directly responsible for the intrusion of computer viruses should bear the corresponding responsibility. Article 16 Other Provisions This management policy supersedes any prior written or oral agreements between you and the Platform regarding the same matters. This management policy is governed by the laws of the People's Republic of China. If any provision of this management policy is deemed invalid or unenforceable, such provision shall be removed, and the remaining provisions shall remain in effect. Clause titles are for reference only and do not in any way define, limit, interpret, or describe the scope or extent of the clause. The Platform's failure to act in respect of a breach by you or others does not waive the Platform's right to act with respect to subsequent or similar breaches.
